Vintage Lair Gym LLC Membership Agreement

This Membership Agreement ("Agreement") is entered into between Vintage Lair Gym LLC, located in Bakersfield, CA ("Gym"), and the agreeing individual ("Member").

Cancellation Policy

30-Day Notice of Cancellation: All members are required to provide a 30-day notice to cancel their membership.

Cancellation Effective Date

Your cancellation will take effect 30 days after the end of your current paid billing period.

Example: If your billing date is the 15th of each month and you submit a cancellation request on January 10th:

•Your current billing period ends on February 14th.

•Your 30-day notice period begins on February 15th.

•Your cancellation becomes effective on March 16th.

•You will be charged for the February 15th and March 15th billing cycles.

Core Membership Early Cancellation

The Core Membership requires a 6-month minimum commitment. If you cancel your Core Membership before completing the full 6-month commitment period, an early termination fee of $100.00 will be charged to your payment method on file.

Early Termination Fee Waiver: The $100.00 early termination fee will be waived if your 30-day cancellation notice period extends beyond the end of your 6-month commitment period.

Example 1 (Fee Applies):

•Enrollment Date: January 1, 2026

•6-Month Commitment Ends: June 30, 2026

•Cancellation Request Submitted: April 1, 2026

•Current Billing Period Ends: April 30, 2026

•30-Day Notice Period: May 1 - May 30, 2026

•Cancellation Effective Date: May 31, 2026

•Result: Cancellation occurs before June 30, 2026 → $100 fee applies

Example 2 (Fee Waived):

•Enrollment Date: January 1, 2026

•6-Month Commitment Ends: June 30, 2026

•Cancellation Request Submitted: May 15, 2026

•Current Billing Period Ends: May 31, 2026

•30-Day Notice Period: June 1 - June 30, 2026

•Cancellation Effective Date: July 1, 2026

•Result: Cancellation occurs after June 30, 2026 → No fee

Annual Membership Early Cancellation

The Annual Membership requires a 12-month commitment. This membership is paid in full at the time of enrollment and is non-refundable. Early cancellation is not permitted, and no refunds will be issued for unused months.

Exception: Early cancellation may be permitted without penalty in cases of:

•Permanent relocation more than 25 miles from the facility (proof of address change required)

•Documented medical condition preventing gym use (physician's note required)

•Military deployment (official orders required)

Month-to-Month Memberships (Flex and First Responders)

Flex Membership and First Responders Membership are month-to-month memberships with no minimum commitment. You may cancel at any time by providing 30 days' written notice as outlined in Section 3. No early termination fees apply.

Assumption of Risk and Waiver of Liability

6.1 Assumption of Risk

You acknowledge and understand that:

•Physical exercise and the use of gym equipment involve inherent risks of injury, including but not limited to muscle strains, sprains, fractures, cardiovascular events, and other serious injuries.

•You are voluntarily participating in gym activities with full knowledge of these risks.

•You assume full responsibility for any and all injuries, damages, or losses you may sustain while using the Gym's facilities, equipment, or services.

6.2 Waiver and Release of Liability

To the fullest extent permitted by law, you hereby waive, release, and discharge Vintage Lair Gym LLC, its owners, officers, employees, contractors, agents, and representatives from any and all claims, demands, liabilities, actions, or causes of action arising out of or related to:

•Any injury, loss, or damage to person or property

•Your use of the Gym's facilities, equipment, programs, or services

•The acts or omissions of other members, guests, or third parties at the Gym

This waiver applies regardless of whether the injury or damage was caused by the negligence of Vintage Lair Gym LLC or any other party.

6.3 Medical Clearance

You represent and warrant that:

•You are in good physical condition and have no medical condition that would prevent you from safely participating in physical exercise.

•You have consulted with a physician if you have any concerns about your ability to safely use the Gym's facilities.

•You will immediately discontinue exercise and notify Gym staff if you experience any pain, discomfort, or unusual symptoms.

Facility Rules and Member Conduct

Rules and Regulations

You agree to abide by all rules, regulations, and policies of Vintage Lair Gym LLC, including but not limited to:

•Proper use of equipment

•Appropriate gym attire and footwear

•Cleanliness and hygiene standards

•Respectful conduct toward staff and other members

•Prohibition of illegal substances, weapons, and disruptive behavior

The Gym reserves the right to amend these rules at any time. Updated rules will be posted at the facility and/or communicated via email.

Termination for Cause

The Gym reserves the right to immediately terminate your membership without refund if you:

•Violate any facility rules or policies

•Engage in threatening, abusive, or disruptive behavior

•Damage or misuse Gym property or equipment

•Provide false or misleading information during enrollment

•Engage in any illegal activity on Gym premises

Limitation of Liability

To the maximum extent permitted by law, Vintage Lair Gym LLC's total liability to you for any claims arising out of or related to this Agreement or your use of the Gym shall not exceed the total amount of membership fees you have paid in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Vintage Lair Gym LLC, its owners, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

•Your use of the Gym's facilities or services

•Your breach of this Agreement

•Your violation of any law or regulation

•Your violation of any rights of a third party

General Provisions

Entire Agreement

This Agreement constitutes the entire agreement between you and Vintage Lair Gym LLC and supersedes all prior agreements, understandings, and representations, whether written or oral.

Amendments

The Gym reserves the right to modify this Agreement at any time. You will be notified of material changes via email or posted notice at the facility. Continued use of the Gym after such changes constitutes your acceptance of the modified Agreement.

Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in Kern County, California, in accordance with the rules of the American Arbitration Association.

Assignment

You may not assign or transfer your membership or this Agreement without the prior written consent of the Gym. The Gym may assign this Agreement without your consent.
